By placing a wholesale order with SEDA FRANCE, Purchaser agrees to the following terms & conditions. No modification or additions to these terms by purchaser shall be binding by SEDA FRANCE. SEDA FRANCE reserves the right to amend or waive said Terms and Conditions at any time. Terms and Conditions in effect at time of order shall prevail. Non-adherence may result in termination of account. SEDA FRANCE is not responsible for misuse of any product sold.

Customers: SEDA FRANCE sells wholesale to retail establishments. Sale of product authorized only at shipping location and/or business establishment approved by SEDA FRANCE. Change of address requires re-application. Third party sales to other retail establishments are prohibited. SEDA FRANCE reserves the right to reject any order or customer at any time for any reason. Sales of Seda France products and website depictions featuring Seda France product, logo, or name must be approved by the Seda France. Call customer service for more information. Internet auction and/or third party websites are not a preferred method of retail distribution, and are prohibited. Customers must contact Seda France for permission to post Seda France product on any website. Seda France reserves the right to approve and/or decline any website at any time.

Order Requirements: See order form for Seda France line requirements. Special requests for less than pre-pack quantity by fragrance will incur a minimum handling charge of $15 per order. All Wholesale Accounts are required to have a physical retail space. Designers call 1-800-474-0854 for requirements.

Minimum Order: Please refer to individual line sheets for initial buy-in guidelines. All accounts must provide a valid resale certificate prior to initial shipment. $200 minimum re-order for established accounts. Re-application and opening minimums may be required for accounts with no activity (per candle line or fragrance) after four (4) months.

Pricing: All orders, including, but not limited to backorders, may be invoiced at the prices prevailing at the time of shipment. SEDA FRANCE reserves the right to change pricing at any time without notice.

Terms: Credit Card only on first orders. COD Secure by UPS may be extended for re-orders upon approval. Please allow up to 21 business days for approval. Existing accounts with balances over 60 days past due will convert to cash-in-advance, COD Secure by UPS, or credit card accounts. SEDA FRANCE reserves the right to withhold shipment on all future orders and outstanding installments of any partially shipped orders until account is paid. SEDA FRANCE reserves the right to rescind Net 30 terms at any time for any reason. SEDA FRANCE also reserves the right to, at any time, demand payment for any order prior to, or simultaneously with, shipment.

Payment by Check: Checks will be deposited upon receipt; $30 returned check fee. In the event your check is returned, the check may be processed electronically for the original amount plus the $30 service fee. You may request a copy of this check for your records through your financial institution.

Shipping: All shipments are sent F.O.B. Austin, Texas by UPS Ground Service; No Residential Shipping. All shipping is to commercial address only and any applicable charges for non-adherence are the responsibility of and will be charged back to buyer; no P.O. boxes or home addresses. Erroneous shipping instructions will also be charged back to buyer. Customer pays all shipping fees. If purchaser requires that special routing instructions be followed, handling fees will be assessed on per box basis. Special routing instructions must be included with every order submitted to SEDA FRANCE. Charge-backs are not allowed.

Returns: All returns must be reported to SEDA FRANCE within (3) business days upon receipt of delivery. Authorization will be issued at the discretion of SEDA FRANCE. Returns must be approved by Seda France and accompanied by an RA number issued by Seda France. Unauthorized returns or refused shipments will not be credited. Authorized returned goods must be in original condition and are subject to a 30% restocking fee. On any refused shipments, customers will be charged roundtrip freight and applicable restocking fees. Cancellation of order must be requested in writing and will be accepted only if received one day prior to shipment of order. Refunds will take form of in-house credit unless otherwise stated.

Damages: If you receive merchandise that has been damaged during shipping, save all packaging and damaged merchandise for UPS to inspect, take pictures of damaged merchandise to provide to Seda France, and call our office within 48 hrs with tracking number(s) of damaged box(es). Seda France will issue a return authorization if necessary. Freight damage is the responsibility of the freight carrier.

Backorders: Please specify if you accept backorders; these items will be specified on the invoice. Customers may choose to have orders ship complete to include backorders or choose to have backorders shipped separately. Any backorder $75.00 and under will automatically be cancelled and will have to be reordered by the retailer.

Amounts Owed: Purchaser shall be liable for all costs and expenses (including attorney’s fees and collections fees) incurred by SEDA FRANCE in connection with amounts owed by Purchaser. Purchaser will pay an additional 30% on all invoices submitted by SEDA FRANCE for collection.
